Please read carefully. By downloading, installing, accessing, or using Anchor, you agree to these Terms & Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use the App.
1. Introduction and parties
These Terms are a legally binding agreement between you (“you”, “your”, or “User”) and Aurex Digital (“we”, “us”, or “our”) governing your use of:
- the Anchor Android mobile application (“App”);
- the customer portal API and related backend services; and
- the website where these Terms are published.

2. Definitions
- Company — the business or fleet operator that assigned you the vehicle and uses the Aurex platform.
- Agreement — your vehicle assignment agreement with the company, including the program schedule, security terms, conditions for vehicle use, and addenda.
- Assigned user — you, the person authorised to use an assigned vehicle under the Agreement.
- Credentials — your vehicle registration number and assignment / reference number used to sign in.
- Location services — phone location collection and on-board vehicle GPS tracking as described in the Privacy Policy.
- Platform — the App, API, company dashboard, and associated infrastructure operated by Aurex Digital.
3. Eligibility
To use the App, you must:
- be at least 18 years of age and competent to contract under the Indian Contract Act, 1872;
- be the assigned user or other person authorised under the Agreement to use the App;
- have a valid, active vehicle assignment registered on the Platform by your company; and
- provide accurate Credentials and comply with these Terms and applicable law.
4. Nature of the service
Anchor is an assigned-vehicle portal that enables you to:
- view assignment summary, program schedule, and program history;
- access assignment documents shared by your company;
- submit transfers through company-configured methods;
- view receipts for program entries;
- link multiple assigned vehicles on one device where supported; and
- transmit periodic phone location for verification against on-board vehicle GPS when you grant consent.
Aurex Digital is a technology provider. We provide software for companies that assign vehicles to users. We are not a bank or financial institution. Anchor is workforce management software for employers that assign vehicles to workers.
5. Relationship with your company
Your company controls assignment terms, program schedules, document availability, how company-configured transfers are processed, and how location data is used for vehicle verification. Questions about your assignment, compliance, vehicle recovery, or data held by the company should be directed to them.
We provide the Platform under contract with companies. If your company stops using the Platform or closes your account, your access may end.
6. Account access and authentication
- Access is granted when your Credentials are successfully validated against records provided by your company.
- You are responsible for keeping your Credentials confidential and for all activity under your session on your device.
- Do not share your Credentials with unauthorised persons.
- Notify your company immediately if you suspect unauthorised access.
- We may use session tokens stored on your device to keep you signed in. Signing out or clearing app data ends the local session.
Before first use (or as prompted), you must affirmatively accept these Terms and the Privacy Policy using the in-app checkbox or equivalent control.
7. Assignment agreement precedence
If there is a conflict between these Terms and your signed Agreement with the company regarding the assignment, security, location obligations, default, or recovery, the Agreement prevails to the extent of the conflict.
Many vehicle assignment agreements require the assigned user to:
- keep on-board GPS tracking and phone verification active where applicable;
- not tamper with or disable monitoring systems;
- use the assigned vehicle only as permitted; and
- cooperate with the company on asset security and verification.
Your use of the App may be a condition of or supplement to those contractual obligations.
8. Location verification and user obligations
Important. Assigned vehicles have on-board GPS trackers. The App also collects your phone’s precise location, including in the background when you grant permission, so your company can compare both and confirm you are the authorised user of the vehicle.
8.1 Consent
Location collection requires your explicit in-app consent and Android permissions, including “Allow all the time” / background location where requested. Details are in our Privacy Policy.
8.2 Your obligations
Where required by your Agreement or company policy, you agree to:
- keep the App installed and operational on an authorised device;
- maintain location permissions and device GPS/location services in an enabled state;
- not interfere with, spoof, block, or circumvent location reporting;
- not use tools to falsify location or allow unauthorised persons to use the assigned vehicle undetected;
- promptly restore functionality after OS updates, permission changes, or device replacement.
8.3 Consequences of non-compliance
Failure to maintain location services or App functionality may:
- restrict features in the App;
- trigger alerts to your company;
- constitute a breach of your Agreement; and
- lead to contractual remedies available to the company under applicable law.
Aurex Digital is not responsible for actions taken by companies based on missing or delayed location data.
9. App permissions and device settings
The App may request permissions including internet access, network state, fine and coarse location, background location, notifications, foreground service (location), and boot completed receiver. Each permission supports functions described in the Privacy Policy.
You acknowledge that denying or revoking permissions may degrade or disable features. Some companies may treat persistent denial as non-compliance with assignment terms.
10. Background services
To maintain periodic phone location verification, the App may:
- run a foreground service with a persistent notification while active;
- schedule background work and heartbeat uploads;
- restart services after device reboot or app updates where permitted by Android; and
- monitor system events (e.g. power connected, user unlocked) to recover from OS restrictions.
Android manufacturers may apply aggressive battery optimisations that can delay background location updates. The App does not require you to change battery settings.
11. Notifications
The App may send:
- Service notifications — required to indicate active background location verification;
- Schedule reminders — local notifications about upcoming program dates based on dashboard data; and
- Operational messages — prompts to enable GPS, complete setup, or restore permissions.
You may disable some notifications in device settings, but doing so may affect functionality.
12. Program records
12.1 Company-configured transfers
The App may allow you to initiate transfers related to your vehicle assignment using methods configured by your company (e.g. UPI intent or displayed transfer instructions).
12.2 No guarantee of settlement
Display of a transfer option does not guarantee successful processing. Completion depends on third-party networks, banks, NPCI/UPI systems, and your company’s reconciliation. We are not liable for delays, failures, or disputes arising from transfer systems outside our reasonable control.
12.3 Amounts and allocation
Program amounts, allocation, charges, and receipt issuance are determined by your company’s systems. Verify details on your dashboard and official receipts.
12.4 Taxes and charges
You are responsible for applicable taxes, penalties, and third-party transaction charges unless stated otherwise by your company.
13. Assignment documents
Documents displayed in the App are provided by your company. They are for your reference. In case of discrepancy between an in-app document and an original executed copy, the executed copy held by the company prevails unless otherwise required by law.
14. Acceptable use
You agree to use the App only for lawful purposes connected to your vehicle assignment and in accordance with these Terms. You must not misuse the Platform or assist others in doing so.
15. Prohibited conduct
You must not:
- access the App or API using false credentials or another person’s agreement details without authorisation;
- reverse engineer, decompile, or attempt to extract source code except where permitted by law;
- probe, scan, or test the vulnerability of the Platform or breach security measures;
- interfere with or disrupt servers, networks, or other users;
- use bots, scrapers, or automated means not expressly permitted;
- upload malware or harmful code;
- spoof GPS or manipulate location data;
- remove or alter proprietary notices; or
- use the App in violation of applicable motor-vehicle, transport, or other law.
16. Intellectual property
The App, Website, software, logos, trademarks, UI, and content provided by Aurex Digital are owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for personal, lawful purposes in connection with your Agreement.
Company names, logos, and assignment documents remain the property of the respective companies.
17. Third-party services
The App integrates with or links to third-party services (e.g. Google Play services for location, transfer interfaces, cloud infrastructure). Your use of those services is subject to their terms. We are not responsible for third-party acts or omissions.
18. Service availability and changes
We strive to keep the Platform available but do not guarantee uninterrupted, error-free, or secure operation. Maintenance, upgrades, API changes, device/OS changes, or network outages may affect the App.
We may modify, suspend, or discontinue features with reasonable notice where practicable. We may release updates that you must install to continue using the App safely.
19. Suspension and termination
We may suspend or terminate your access, without prior notice where reasonably necessary, if:
- you breach these Terms;
- we suspect fraud, abuse, or security risk;
- required by law or a competent authority;
- your company withdraws or disables your portal access; or
- we discontinue the App or your region’s service.
You may stop using the App at any time by uninstalling it. Uninstalling stops future data collection from that device but does not discharge your obligations under your Agreement with your company.
20. Disclaimer of warranties
To the fullest extent permitted by law, the Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the above, we do not warrant that:
- location data will be continuous, accurate, or timely;
- transfers will always process successfully;
- dashboard figures are free from delay or error; or
- the App will function on every device or OS version.
Location accuracy depends on GPS, network, device hardware, and environmental factors.
21. Limitation of liability
To the maximum extent permitted by applicable law:
- Aurex Digital shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to the App.
- Our aggregate liability for all claims arising out of or relating to these Terms or the App shall not exceed the greater of (a) INR 5,000 or (b) the amount you paid to Aurex Digital for the App or in-app services in the 12 months preceding the claim.
Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.
Nothing in these Terms limits liability for fraud, wilful misconduct, or death/personal injury caused by negligence where limitation is prohibited by law.
22. Indemnification
You agree to indemnify, defend, and hold harmless Aurex Digital, its directors, officers, employees, agents, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- your breach of these Terms or your Agreement;
- your misuse of the App;
- your violation of law or third-party rights; or
- disputes between you and your company, except to the extent caused by our gross negligence or wilful misconduct.
23. Force majeure
We are not liable for failure or delay due to events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, government actions, internet or telecommunications failures, power outages, pandemics, or failures of third-party hosting or service providers.
24. Governing law and dispute resolution
24.1 Governing law
These Terms are governed by the laws of India. Courts in India shall have jurisdiction, subject to the arbitration clause below.
24.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be India. The tribunal shall consist of a sole arbitrator appointed in accordance with the Act. Proceedings may be conducted in English.
24.3 Interim relief
Either party may seek interim or injunctive relief from a court of competent jurisdiction to protect intellectual property, confidential information, or platform security pending arbitration.
24.4 Consumer rights
Nothing in this section limits any non-waivable consumer rights you may have under applicable law.
25. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Where changes are material, we may provide additional notice through the App. Your continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, you must stop using the App.
26. Miscellaneous
- Entire agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Aurex Digital regarding the App, except for any separate enterprise agreement with us.
- Severability — If any provision is held invalid, the remaining provisions remain in effect.
- No waiver — Failure to enforce a provision is not a waiver.
- Assignment — You may not assign your rights without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
- Language — In case of conflict between translations, the English version prevails.
